Software Licence Agreement

Version 2026-09-01 · Last updated September 1, 2026 · Edit Bay Tools LLC

This agreement covers the desktop software published by Edit Bay Tools LLC, including Edit Bay Studio (the “Software”). It sits alongside our Terms of Service; where the two overlap, the Terms of Service govern the Service as a whole and this agreement governs the Software on your machine.

Installing or using the Software means you accept this agreement.

1. Licence granted

While you have an active plan or trial, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and run the Software on computers you own or control, for your own work or your employer's work.

Installs are unlimited. The number of simultaneous signed-in sessions is limited by your plan. The Software is licensed, not sold; we and our licensors keep all ownership rights.

2. What you may not do

  • Sell, rent, lease, sublicense, or distribute the Software, or provide it to others as a service.
  • Remove or alter any copyright, trademark or licence notice.
  • Circumvent or tamper with the licensing checks, or use the Software without a valid licence.
  • Reverse engineer, decompile or disassemble the Software, except to the extent that this restriction is prohibited by applicable law, or as permitted by the licence of an open-source component it contains.

3. Your content stays yours

Anything you make with the Software is yours. We claim no rights in it, we receive no copy of it, and we place no restriction on how you use, sell or distribute your own output.

What you process is your responsibility — see the acceptable use section of the Terms of Service.

4. Licence checks

The Software contacts our servers to confirm you have an active plan: when it starts, after you sign in, and once a day shortly after midnight Eastern Time. It receives a short-lived signed token in reply.

If it cannot reach us, it keeps working on the last valid token for a grace period of several days. After that, and if your plan has ended, the tools stop and the Software prompts you to subscribe. Nothing is deleted from your computer.

5. Updates

The Software may check for and install updates. There are two kinds:

  • Component updates — small, quick refreshes of the media components the Software relies on. These keep it working with sites and formats that change often. They apply in place and do not restart the application.
  • Application updates — new versions of the Software itself, which you download and install as usual.

Updates are covered by this agreement unless they arrive with their own terms.

6. Open-source components

The Software includes third-party open-source components, each under its own licence. Those licences are reproduced in the application and, where they require it, we will provide corresponding source code on request to admin@editbaytools.com. Nothing here limits your rights under those licences.

7. Termination

This licence ends automatically if your plan ends or if you breach this agreement or the Terms of Service. On termination you must stop using the Software and remove it from your machines. The sections on ownership, disclaimers and liability survive.

8. Warranty and liability

The Software is provided “as is”, without warranty of any kind, and our liability is limited exactly as set out in the Disclaimers and Limitation of liability sections of the Terms of Service. Keep backups of your work.

9. Export and government use

You may not use or export the Software in breach of US export control or sanctions law. The Software is “commercial computer software” under FAR 12.212 and DFARS 227.7202; US Government users receive only the rights granted here.
